George Spadoro is a member of the firm’s Corporate and Business Litigation Groups. He is an experienced and trusted advisor to his diverse corporate client base, as well as their owners and C-level executives.
George helps advance his clients’ profitability and growth by leveraging a variety of corporate and commercial transactions. He has helped negotiate all forms of complex agreements and contracts, including – shareholder and buy-sell agreements; customer and vendor agreements; employment, independent contractor and work for hire agreements; non-compete agreements; and non-disclosure agreements. His clients operate across a diverse range of industries such as manufacturing, logistics and distribution, software, technology, communications systems, professional services, energy resellers, product services, hospitality, professional counseling, IT services, private equity, staffing and construction.
George’s primary areas of practice include general corporate, commercial and business matters, family-business law, financial matters and mergers and acquisitions. He works closely with accountants and other tax experts to advise U.S. clients on their domestic legal structures. George also advises on international matters and has significant experience negotiating cross-border transactions.
George has represented clients in private placements of equity and debt securities, venture capital investments and joint venture transactions. He has assisted family-owned clients in corporate governance matters and professional service teams in planning and implementing succession and estate plans.
George has also represented his clients in a wide variety of commercial disputes, federal and state litigations and liquidations including contract claims, corporate government matters and a variety of employment law matters including substantial number of matters relating to the enforcement of covenants.
George began his legal career with a large Wall Street law firm, and later spent several years as General Counsel for a large telecommunications company. After founding a Woodbridge, NJ-based law firm, he entered public service – serving two terms in the New Jersey State Legislature and three terms as the Mayor of Edison, the fifth largest city in New Jersey.
